Major institutional lenders have turned to Harding Larmore Kutcher & Kozal, LLP, for advice on the structuring of real estate loan transactions and the preparation and negotiation of loan documents. These transactions have involved construction, acquisition, permanent and mezzanine financing, revolving credit lines for major developers and other types of debt and equity investment for projects ranging from multifamily units to oil refineries and hospitals.

Attorneys at the firm have represented buyers, sellers, joint venture partners, landlords, tenants, property managers and many other participants in a wide variety of real estate transactions including the purchase and sale of office buildings, shopping centers, hotels and apartments. They also have been involved with space and ground leases, disposition and development agreements, commercial and residential leases, hotel management agreements and the preparation of easements, covenants, deed restrictions, tieback agreements, and other documents pertaining to the use of property. The attorneys regularly represent clients in the negotiation of joint venture agreements, partnership agreements and operating agreements for limited liability companies.

In addition, the attorneys have prepared corporate formation and operating documents such as articles of incorporation, shareholder agreements and bylaws for their real estate clients. The attorneys also have obtained tax-exempt determinations for various non-profit corporations (including homeowner associations) and have assisted with effectuating a variety of 1031 tax-deferred exchanges.
